ScoutSentinel Terms and Conditions

Welcome to ScoutSentinel (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our AI-driven horizon scanning service (the “Service”). By creating an account or otherwise using the Service, you agree to be bound by these Terms.

1. Company Details

We operate under the name ScoutSentinel. We are not formally registered as a company, do not currently hold a physical or mailing address, and are primarily reachable via email: privacy@scoutsentinel.com.

2. Service Description

We offer AI-driven horizon scanning capabilities designed to guide users on various topics.

• Account Requirement: You must create an account to access the Service.
• Lawful and Advisory Use Only: You agree to use the Service solely for lawful means and acknowledge that outputs are for general informational purposes. We strongly recommend seeking professional or expert advice to verify or supplement any information received.

3. Intended Audience

• You must be at least 16 years old to use our Service.
• Our Service is available worldwide; however, it remains your responsibility to ensure compliance with local laws and regulations if you choose to access the Service from outside Australia.

4. Payments & Subscriptions

Our Service is primarily subscription-based, offering various tiered plans:

• Free Trial: We may offer a free trial. The duration and terms of any free trial are subject to change.
• Monthly Subscriptions: Users pay for a month of usage. Additional usage can be purchased within that month. You can cancel so that the subscription does not renew for the next month; however, no partial refunds are provided if you cancel mid-month.
  Auto-Renewal Notice: Monthly subscriptions automatically renew at the end of each billing cycle unless canceled prior to renewal. You authorize us to charge your chosen payment method for each renewal period until you cancel.
• Annual Commitments: Discounted 12-month plans are available. These fees are non-refundable once purchased.

Cooling-Off Period (Unused Service): If you purchase a subscription and do not use the Service at all during the first 7 days, you may request a full refund within that period. Once you log in, generate AI outputs, or otherwise utilize the Service, the cooling-off period is waived and no refund will be provided. This policy is subject to any mandatory consumer protection laws in your jurisdiction.

5. User Obligations

• No Illegal Content: You agree not to use the Service for any unlawful or prohibited activities, including transmitting or storing content that is illegal, harmful, threatening, or fraudulent.
• Credential Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Data Sharing: While we employ security measures, you agree not to share sensitive personal or internal company information through our platform. You remain responsible for any information you choose to provide or store.

6. Intellectual Property

Ownership: All trademarks, logos, and service marks (“Marks”) used in connection with the Service are the property of their respective owners. Unauthorized use of these Marks is prohibited.

License to You: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes.

User-Generated Content (UGC): If we enable user-generated content:

• You retain any intellectual property rights you hold in UGC you submit.
• You grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such UGC as necessary to provide the Service.
• You represent and warrant that you have all necessary rights to share any UGC you submit.

7. Third-Party Integrations

We rely on several third-party services to operate:

• Auth0 (authentication)
• Brevo (email communications)
• Stripe (payment processing)
• OpenAI and other AI providers (AI-driven functionalities)
• Cloudflare (performance and security services)
• Google Analytics (analytics and usage tracking)

By using our Service, you acknowledge and agree to the applicable terms and privacy policies of these providers (as relevant):

If these services experience downtime or interruptions, we may be unable to provide the Service. We are not liable for service interruptions caused by third-party providers.

8. Limitations of Liability & Warranties

• As Is & As Available: The Service is provided on an “as is” and “as available” basis without warranties of any kind.
• No Professional Advice: Any AI-driven outputs or content are for general informational purposes only and do not constitute legal, financial, medical, or other professional advice. You should seek independent professional advice before relying on any information provided by our Service.
• Accuracy Not Guaranteed: We do not guarantee the completeness or accuracy of the information provided and assume no liability for any errors.
• No Liability for Damages: To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, or special damages arising from your use of the Service, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless ScoutSentinel, its officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights, including intellectual property or privacy rights.

9. Termination

• By Us: We may terminate or suspend your access if you violate these Terms or use the Service in a manner that could cause us legal liability or disrupt others’ use.
• By You: You may terminate your account at any time; however, fees already paid or due will not be refunded, and we do not provide pro-rated refunds for early cancellation.

10. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Australia, without regard to its conflict of law principles. You agree to submit to the jurisdiction of the courts located in Australia for the resolution of any disputes arising out of or related to these Terms or the Service.

11. Changes to Terms

We may update or modify these Terms from time to time. When we do, we will post a notice (e.g., a banner) on our website or require you to accept the updated Terms upon your next login. Your continued use of the Service after changes are posted indicates your acceptance of the revised Terms.

• Users are advised to seek professional advice before relying on AI-generated data.
